1. Acceptance of Terms

By accessing or using VOXARIS's voice AI platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

VOXARIS provides an enterprise voice AI platform that enables businesses to automate phone-based customer interactions. Our Services include:

  • Real-time voice AI agents powered by large language models
  • Integration with telephony providers (Twilio)
  • Call monitoring, transcription, and analytics
  • Multi-tenant configuration and management
  • APIs and webhooks for system integration

3. Account Registration

To use certain features of the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or use
  • Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to use the Services to:

  • Make unsolicited, harassing, or fraudulent phone calls
  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to our systems
  • Overwhelm our infrastructure with excessive requests
  • Circumvent usage limits or billing mechanisms

5. Telephony Compliance

When using our telephony features, you are responsible for:

  • Obtaining consent before recording calls, as required by applicable law
  • Complying with TCPA, GDPR, and other relevant regulations
  • Maintaining accurate caller ID information
  • Honoring do-not-call lists and opt-out requests
  • Providing appropriate disclosures about AI-generated communications

6. Fees and Payment

Some aspects of the Services require payment. By using paid features, you agree to:

  • Pay all applicable fees according to our current pricing
  • Provide valid payment information
  • Accept that fees may change with 30 days notice
  • Understand that there are no refunds for partial months

7. Intellectual Property

VOXARIS and its licensors retain all rights to the Services, including all software, content, and trademarks. You are granted a limited, non-exclusive, non-transferable license to use the Services for your business purposes.

You retain ownership of your data, including call recordings, transcriptions, and configurations. You grant us a license to process this data solely to provide the Services.

8. Data Processing

Our processing of personal data is governed by our Privacy Policy. By using the Services, you agree that:

  • You have obtained necessary consents to process caller data
  • You will configure appropriate data retention settings
  • You will not process sensitive data without appropriate safeguards

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We may suspend access for maintenance, security issues, or violation of these Terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXARIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless VOXARIS and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

12. Termination

Either party may terminate the agreement at any time. Upon termination:

  • Your access to the Services will be revoked
  • You may request export of your data within 30 days
  • We will delete your data according to our retention policies
  • Accrued payment obligations remain in effect

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the platform. Continued use after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of Italy, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Milano, Italy.
